Privacy Policy

Members Only ("Members Only," "we," "us," or "our") is a platform operated by LE 589X LLC that enables merchants ("Merchants," "you," if you are a Merchant) using Shopify to create exclusive membership groups, time-limited product releases ("Drops"), and to communicate with their customers ("Members," "you," if you are a Member) via SMS text message and email.

This Privacy Policy explains how we collect, use, disclose, and safeguard information when you use the Members Only platform, whether as a Merchant or as a Member. Because Members Only serves two distinct roles, sections below are labeled to indicate which apply to Merchants, which apply to Members, and which apply to both.

By installing the Members Only app, accessing our services, or receiving communications sent through our platform, you agree to the terms of this Privacy Policy.


1. Information We Collect

1.1 Information From Merchants

When a Merchant installs Members Only via the Shopify App Store and connects their store, we collect:

  • Shopify store information (store name, domain, store ID)
  • Merchant account and contact information (name, email address)
  • Authentication tokens issued via Shopify OAuth, used solely to access authorized store data
  • Configuration data the Merchant creates within the platform, including Membership groups, Drop details, landing page content, and message templates

1.2 Information From Shopify (Customer/Product Sync)

Shopify is the system of record for customer and product data. Members Only syncs the following from a connected Shopify store, limited to what is necessary to operate the platform:

  • Customer name, phone number, and email address (as made available by Shopify, subject to the Merchant's own Shopify customer consent practices)
  • Product information relevant to Drops (titles, images, pricing, availability)

Members Only does not independently collect customer data from sources other than the connected Shopify store, except where a Member submits information directly through a Drop landing page signup form as described below.

1.3 Information From Members

Members may provide information to Members Only in the following ways, corresponding to how they were opted in (see Section 2):

  • Shopify checkout opt-in: phone number and/or email address and consent status, passed to Members Only via Shopify customer data.
  • Drop landing page signup form: phone number and/or email address submitted directly by the Member, along with the timestamp and method of consent.
  • Merchant-added contacts: phone number and/or email address entered directly by a Merchant into the platform on the Member's behalf. See Section 2.3 regarding Merchant obligations for this method.

We also automatically collect limited technical data when a Member visits a Drop landing page, including IP address, device/browser type, and page interaction events (e.g., whether a View Once link was opened), for the purpose of enforcing Drop access rules (Unlimited, Countdown, View Once) and basic security/fraud prevention.

1.4 Message Content and Delivery Data

When SMS or email messages are sent through the platform, we and our messaging sub-processors (including Twilio, and email delivery providers) process message content, delivery status, timestamps, and opt-out/reply keywords (e.g., STOP, HELP) necessary to deliver messages and honor opt-out requests.


2. How Members Are Opted In

Members Only supports three methods by which a Member's contact information may be added to a Merchant's SMS/email list:

2.1 Shopify Checkout Opt-In

A Member may check a consent box during Shopify checkout, agreeing to receive SMS and/or email communications from the Merchant. Consent captured this way is governed by the Merchant's own checkout consent language, in addition to this Policy.

2.2 Drop Landing Page Signup

A Member may submit their phone number and/or email address directly through a signup form on a Drop landing page, at which point they will be presented with consent language describing the nature and frequency of messages before submitting.

2.3 Merchant-Added Contacts

A Merchant may manually add a Member's contact information directly within the platform, without the Member completing a digital opt-in flow through Members Only. Merchants are solely responsible for obtaining and retaining valid, documented consent from any contact added this way, consistent with applicable law (including TCPA and CTIA guidelines) prior to adding them. Members Only reserves the right to request evidence of consent for manually-added contacts and to suspend messaging to any contact for which valid consent cannot be demonstrated.


3. How We Use Information

We use the information described above to:

  • Operate, maintain, and provide the Members Only platform to Merchants
  • Sync and display Shopify customer and product data within Membership and Drop tools
  • Deliver SMS and email messages that a Merchant configures and sends to their Members
  • Enforce Drop access rules (Unlimited, Countdown, View Once) and prevent unauthorized access to time-limited or single-view content
  • Process and honor opt-out requests (e.g., STOP) and support requests (e.g., HELP)
  • Monitor for fraud, abuse, and violations of our Terms of Service
  • Comply with legal obligations, including recordkeeping related to SMS consent

We do not sell Member or Merchant personal information to third parties.


4. How We Share Information

We share information with:

  • Shopify, as the platform of record for customer and product data
  • Twilio, as our SMS delivery infrastructure provider, solely to transmit messages configured by Merchants
  • Email delivery providers (e.g., SendGrid), solely to transmit messages configured by Merchants
  • Infrastructure providers who host and operate the platform — including Vercel (application hosting) and Neon (database) — under contractual confidentiality obligations
  • Law enforcement or regulators, where required by law, subpoena, or legal process

Each Merchant is a data controller with respect to their own Members' data as it pertains to that Merchant's own communications and marketing practices; Members Only acts as a data processor on the Merchant's behalf for the purpose of platform operation and message delivery.


5. SMS-Specific Disclosures

  • No mobile information will be shared with third parties or affiliates for marketing/promotional purposes. Information sharing to subcontractors for support services, such as customer service, is permitted, subject to contractual obligations consistent with this Privacy Policy.
  • Message frequency varies by Merchant and Drop activity and will be disclosed at the point of opt-in.
  • Message and data rates may apply.
  • A Member may opt out of SMS messages from a given Merchant at any time by replying STOP to any message. A Member may reply HELP for assistance.
  • Opting out of one Merchant's messages does not opt a Member out of messages from a different Merchant using the Members Only platform; Members are opted in and out on a per-Merchant basis, consistent with how consent was originally given.

6. Data Retention

We retain Merchant account data for as long as the Merchant's account remains active, and Member contact and consent data for as long as necessary to operate the Merchant's messaging program and to comply with applicable recordkeeping requirements for consent (typically no less than 4 years for TCPA-related consent records). Data may be retained longer where required by law or to resolve disputes.


7. Your Rights and Choices

  • Members may opt out of SMS at any time via STOP, and may contact the relevant Merchant or support@memberson.ly to request access to, correction of, or deletion of their personal information, subject to the Merchant's own retention obligations.
  • Merchants may access, export, or delete their store's data within the platform, or by contacting support@memberson.ly, subject to Shopify's own data retention terms for the underlying store.

8. Security

We implement reasonable administrative, technical, and physical safeguards designed to protect information processed through the platform, including encrypted Shopify access tokens, database-backed session cookies, and HMAC-verified webhooks. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.


9. Children's Privacy

Members Only is not directed to individuals under the age of 18, and we do not knowingly collect personal information from children.


10. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be reflected by updating the "Last Updated" date above. Continued use of the platform after changes take effect constitutes acceptance of the revised Policy.
